Terms of Service

Last updated 8 October 2026

1. Who these terms are with

These Terms of Service ("Terms") are between Onboard AI ("Onboard AI", "we", "us", "our"), originating from India, and the business entity that creates a workspace on the product ("Customer", "you", "your").

⚠️ Placeholder entity: Onboard AI is not yet incorporated as of this draft. This document cannot be made binding until incorporation is complete.

By creating a workspace, connecting an integration, or otherwise using the product, you agree to these Terms on behalf of the business you represent. If you don't have authority to bind that business, don't proceed.

2. The service

Onboard AI is a software platform that connects to a business's existing tools (Slack, Gmail, calendars, CRM, issue trackers, meeting platforms, and similar), reads and classifies activity, and surfaces or performs work on the business's behalf. Outward-facing actions generally require human approval before they are sent, unless a workspace admin has configured a rule to run unattended ("auto-approval").

The Service runs partly on third-party AI providers and infrastructure (see Section 6 and the Privacy Policy's subprocessor list).

3. Accounts and your responsibilities

  • You are responsible for the accuracy of information provided at sign-up and for maintaining the security of your account credentials.
  • You are responsible for the integrations you connect and the data you choose to bring into the Service.
  • You are responsible for having appropriate rights and lawful basis to process your own end-clients' data through the Service (see Section 2 of the Privacy Policy on controller/processor roles).
  • You are responsible for informing meeting participants about recording where Onboard AI's own in-product notice does not cover it (see the Privacy Policy, Section 3.3).
  • You must not use the Service to violate law, infringe others' rights, or attempt to bypass the human-approval gate on actions in a way that causes harm to third parties.

4. Plans, usage limits, and billing

  • The Service is offered in plan tiers (free, starter, growth, enterprise) with usage limits on events, clients, integrations, and AI messages per the then-current plan.
  • Pilot customers: during the pilot phase, pricing and billing terms are governed separately by a Pilot Agreement, not by this general billing section.
  • Fees: any fees are agreed with you in writing (in your Pilot Agreement or an order form) before they apply. The Service does not currently take payments or issue invoices automatically. If we introduce automated billing, we will update these Terms and tell you before any charge is made.

5. Data and privacy

Our Privacy Policy describes what data we collect, how we use it, who we share it with, and your rights. It is incorporated into these Terms by reference.

6. AI features

  • The Service uses third-party and cloud AI providers to classify content, generate drafts, and power the AI Companion assistant. Current subprocessors are listed in the Privacy Policy.
  • AI-generated output (replies, summaries, classifications, reports) may contain errors. By default, outward actions require your approval before being sent; you are responsible for reviewing AI-proposed actions before approving them.
  • We do not use your workspace's data to train models shared across other customers' workspaces.

7. Service levels and availability

  • We do not currently offer a formal uptime SLA or public status page. During the pilot phase, we will notify you directly of planned maintenance or known incidents affecting your workspace.
  • Until a written agreement says otherwise, the Service is provided without an uptime commitment. Any formal service levels, for example on an enterprise plan, would be set out in a separate written agreement.

8. Suspension and termination

  • You may request deletion of your workspace at any time (30-day grace period, then permanent purge — see Privacy Policy Section 8).
  • We may suspend or terminate access for breach of these Terms, non-payment (once billing exists), or conduct that creates legal or security risk to Onboard AI or other customers, with notice where reasonably possible.

9. Intellectual property

  • You retain ownership of your data. We claim no ownership over content you upload or connect to the Service.
  • Onboard AI retains all rights to the Service's software, design, and underlying technology.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Onboard AI disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

Limitation of liability. Except for the carve-outs below, each party's total liability arising out of or relating to these Terms, for any claim, is limited to the total fees paid by the Customer to Onboard AI in the 12 months preceding the claim. During any period where no fees have been paid (including the pilot), this cap is zero.

Exclusion of indirect damages. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility of such damages.

Carve-outs (not subject to the above cap or exclusion):

  • A party's breach of its confidentiality obligations
  • Either party's gross negligence or willful misconduct
  • A party's infringement of the other's intellectual property rights
  • Onboard AI's obligations regarding data deletion and security under the Privacy Policy and DPA, where applicable law does not permit such liability to be capped

Nothing in this section limits liability that cannot be limited or excluded under applicable law.

11. Changes to these Terms

We will notify workspace admins by email of material changes to these Terms before they take effect.

12. Governing law

These Terms are governed by the laws of India, and any dispute is subject to the courts of India.
